CONFIDENTIALITY AGREEMENT

I/We understand that it is your policy not to accept or consider any unsolicited submissions of materials describing any proposed production.

For and in consideration of your agreement to consider the Work that I am/we are submitting together with this Release, and as an inducement for you to do so, I/we hereby accept your terms and conditions for this submission which are as follows:

1. CONFIDENTIALITY. You agree that we shall be allowed to release the Work and discuss the Work and/or any discussions that may occur between you and us concerning the Work with our professional advisors and potential investors, broadcasters, licensees or other potential creative or financial participants in the Work.

2. NO LIABILITY FOR LOSS. You will have no liability for any loss, theft, or destruction of the Work while it is in your possession or in transit to or from you. I/we acknowledge that I/we have retained originals of the Work.

3. NO RESTRICTION OF YOUR ACTIVITIES. I/we acknowledge that you may now have, have had, or will have under consideration other works and ideas of your own or of others which may be similar, and in some respects identical, to my/our Work. Your consideration of my/our Work does not restrict or prevent you from fully developing, producing and distributing such other works and ideas with no obligation to acquire rights in my/our Work.

4. NO CLAIMS AGAINST YOU. I/we do not hereby grant copyright in the Work to you. However I/we do hereby agree that I/we will not assert or bring, directly or indirectly, any litigation or other claim or demand whatsoever against you or your licensees claiming any right, title or interest in or to other works or ideas you may use if such claim is based in whole or in part upon any allegation of the similarity of such other work or idea to my/our Work. I/we are not bound by this restriction if my/our Work pre-dates the other work and the similarities between them are commercially material and intentional on your part.

5. NO INJUNCTION. I/we agree that we will never claim any remedy enjoining the development, production, or distribution of any production based in whole or in part upon other works or ideas you may use that we may claim are similar to my/our Work. I/we may only claim reasonable money damages.

6. NO OBLIGATION. You are under no obligation to me/us, express or implied, unless you, at your discretion, enter into a formal written agreement with me/us concerning the Work and, in that case, your obligations will be only those expressly stated in such a written agreement executed by the parties to it.

7. WARRANTY. I/we hereby warrant that I/we have the authority to enter into this Release and to give full effect to its terms.

8. GOVERNING LAW. This Release shall be construed in accordance with the laws of the Province of Ontario and of Canada applicable in Ontario. The courts of Ontario shall have exclusive jurisdiction with respect to any dispute arising hereunder.

9. BINDING RELEASE. This Release shall be binding on me/us and my/our heirs, executors, administrators and other personal representatives.
